Sledge End-User Licence Agreement

Version: 2.3

Effective date: 12 October 2026

Last updated: 21 October 2026

Language: English

1. Licensor and application

The licensor is:

Burlis Management GmbH
Philippstraße 27
52349 Düren
Germany

Managing Director: Alexander Burlis
Commercial Register: HRB 7595, Local Court of Düren
VAT identification number: DE316238171
Telephone: +49 177 6436530
Email: support@sledge.fit

This agreement applies to the Sledge app, bundle and Android package identifier fit.sledge.app, including components and store updates supplied by Burlis unless a later component has separate terms. Sledge is licensed, not sold.

The Terms of Service govern accounts and subscription access. The Privacy Policy explains data processing. Consent is requested separately where required.

2. Licence grant

Subject to this agreement, Burlis grants you a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to install and use Sledge for lawful personal purposes on devices you own or control and through a store account you are authorised to use.

On Apple devices, the licence is limited to Apple-branded products you own or control as permitted by the Apple Media Services Terms and Usage Rules, including use by accounts associated through Family Sharing or volume purchasing where those rules allow it. On Android devices, use must comply with the applicable Google Play and device terms.

You may retain copies created by an authorised store or operating-system process to the extent permitted by law and this agreement.

3. Restrictions and lawful exceptions

Unless mandatory law or an applicable open-source or data licence allows it, you must not copy, distribute, sell, rent, sublicense, publicly provide, modify, derive, reverse engineer, decompile or disassemble Sledge; extract proprietary resources; bypass a security, age, consent or access control; obtain another person's credentials; interfere with the app or service; or use Sledge unlawfully.

These restrictions do not limit a non-waivable right, lawful interoperability, lawful security research meeting its legal conditions, or a broader right granted by an open-source or data licence.

4. Features in the licensed release

The account-based app requires an 18+ account using Apple or email sign-in on iOS, or Google or email sign-in on Android. Availability depends on the applicable store offering Sledge in your territory. Sledge provides a local workout log, manual food logging with food search, barcode lookup and optional AI meal-photo estimates, progress, optional AI Agent, optional Apple Health or Health Connect. Meal-photo estimates support iOS and Android when enabled. Using Sledge requires an active Sledge Pro trial, subscription or complimentary grant. Complimentary access has no checkout or renewal. Without access, the subscription screen offers Restore purchases, the legal documents and Account, where you can sign out or delete your account. The applicable store shows the price before you confirm a purchase; the Terms explain renewal, trials and restoration of purchases.

Optional account saving restores the last successfully saved eligible workout log and meal photos after sign-in. Unsaved changes and excluded Health-derived records may be lost if you delete the app or replace the phone. Account saving is optional and needs separate explicit consent; accepting this licence does not enable it. Its purpose, scope, limits, encryption and retention are described in Privacy Policy Section 5 and the Terms. Different logs require your explicit keep-phone or use-saved choice; the app does not automatically merge them. Sign-out keeps the local log. Switching to a different account requires explicit clearing of the previous log. Account deletion in the app also clears this phone's local records after server confirmation, unless another Sledge account owns them. A different account's local records are preserved. Account deletion also removes the live account-save snapshot and saved/staged photos. Uninstalling or clearing this phone alone does not erase that server copy. Account-saving withdrawal stops local dispatch immediately and stays pending offline until confirmed. Apple or Google Play subscription cancellation is separate.

Data & privacy offers Get a copy of my data, a limited JSON copy of your account-owned local records, without Pro. It excludes imported Health data and is not a backup, import or restore feature. The Privacy Policy explains its scope and your choice of destination. Report an issue sends one report you preview, as the Optional AI Agent section describes.

There is no web checkout or subscription Family Sharing in this release. Builds with Expo over-the-air updates can download compatible interface, JavaScript and asset changes for a later launch; native changes still require a store update. The Privacy Policy explains update delivery. The licence does not promise future availability. Apple licence Usage Rules in Section 2 do not grant Family Sharing of the Sledge subscription. Android purchases require the configured Google Play catalog; platform provisions apply where you use Android.

5. Health and user data

Health integration is optional. Sledge asks for separate explicit consent before the operating-system Health permission. You can refuse or withdraw without losing the ordinary local workout and manual food log. The Privacy Policy explains local storage, iOS and Android automatic-backup exclusions, withdrawal and deletion.

Sledge is a general fitness app, not a medical device, emergency service or substitute for qualified medical, nutritional or training advice. Check inputs and outputs before relying on them. Do not use Sledge for diagnosis, treatment or an emergency. The health, safety and fitness information in Section 8 of the Sledge Terms applies to your use of the app.

You are responsible for protecting device access. You must have the right to enter any information you add to Sledge.

6. Stores and external services

Apple, Google, Superwall, Health-platform and email-delivery services are operated by their providers under their own terms. This agreement does not grant a right to a third-party service or make Burlis responsible for that provider's independent acts.

Third-party software and food datasets remain subject to their own licence terms. Where such a licence grants broader rights for its component or data, it governs that component or data. Notices and applicable texts are available in Sledge. The licences page explains how to request a copy.

7. Updates, compatibility and availability

Sledge updates for this release are supplied through the applicable app store. Burlis may provide corrections, security changes and compatibility updates. An update may require a supported operating system or device. Mandatory rights to updates and digital-product conformity remain unaffected.

We do not promise that every device, operating-system version or external service will remain supported forever. Material discontinuation or a required update is communicated as required by law. Changes to ongoing digital services follow Section 9 of the Terms, including its notice and termination rights.

8. Ownership and feedback

Burlis and its licensors retain all rights in Sledge that are not expressly granted. No trademark or ownership right is transferred.

If you voluntarily provide feedback, Burlis may use it to improve Sledge without payment, provided this does not transfer ownership of your pre-existing material or permit use of personal data outside the Privacy Policy.

9. Maintenance, warranty and product claims

Burlis is responsible for maintenance and support required by applicable law. German statutory warranty and consumer rights apply. No additional voluntary guarantee is given unless expressly stated.

Nothing limits liability or remedies that cannot legally be limited. The liability rules in the Sledge Terms apply correspondingly to the software licence.

Questions and claims about Sledge may be sent to the licensor contact in Section 1.

10. Apple App Store terms

Where Sledge is obtained through Apple's App Store, you and Burlis acknowledge:

You represent that you are not located in a country subject to a US Government embargo or designated as supporting terrorism and are not listed on a US Government prohibited or restricted-party list, to the extent this representation is required by Apple's minimum terms and lawful where you live.

This agreement must not conflict with the Apple Media Services Terms or Usage Rules. Mandatory law prevails.

11. Term and termination

The licence starts when you accept this agreement or first install or use Sledge. You may end it by ceasing use and removing all copies under your control.

The licence ends if you materially breach it and fail to cure a curable breach after reasonable notice, or immediately where a serious security or unlawful use cannot reasonably be cured. Mandatory consumer notice and remedy rights remain unaffected.

After termination, stop using and remove Sledge. This does not itself delete a Sledge account or Superwall records, cancel an Apple or Google Play subscription, or remove data in Apple Health, Health Connect or a backup stored elsewhere. Use the separate deletion and cancellation controls.

12. Liability

Your statutory rights as a consumer, in particular your rights regarding defects in and updates to digital products (Sections 327 et seq. German Civil Code), remain unaffected; the following rules concern only liability for damages.

Burlis has unlimited liability for intent, gross negligence, injury to life, body or health, fraudulent concealment, an expressly assumed guarantee, liability under the German Product Liability Act (Produkthaftungsgesetz) and any other liability that cannot legally be limited.

For slight negligence, Burlis is liable for breach of an essential contractual duty only for the foreseeable damage typical for the agreement. An essential duty is one whose performance makes the agreement possible and on which you may ordinarily rely. Otherwise, we are not liable for slight negligence. These rules also apply to employees and agents.

If your own fault contributed to a loss, it is taken into account under the statutory rules (Section 254 German Civil Code).

13. Law, language and final terms

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you have your habitual residence (Article 6(2) Rome I Regulation). No exclusive place of jurisdiction is imposed on a consumer.

This licence agreement is concluded in English; no other contract language is offered. This does not limit mandatory consumer protection.

If a provision is invalid, the statutory rule applies and the remainder stays effective where legally possible. Failure to enforce a right once is not a waiver. This agreement, the Terms, applicable store terms and applicable component licences form the relevant contractual framework.

14. Optional AI Agent

When available, Agent requires verified Sledge Pro access, a signed-in account and separate Agent consent. Agent supports iOS and Android where account access is available. AI meal-photo estimates support iOS and Android when enabled and follow the separate food-photo consent described in the Privacy Policy.

Everywhere, Agree and start chatting consents to OpenAI processing of your messages and a bounded recent eligible conversation, including health details you enter, together with your Sledge goals, workouts, food and confirmed body weight and, when you have connected Apple Health or Health Connect under its own consent, your steps, sleep, resting heart rate, Health workouts and Health weigh-ins. There is no partial mode; to stop sharing, turn off Agent. Opening Agent or typing a message gives no permission. An acceptance given before 11 October 2026 did not cover Health data, so Agent asks again. Your message, a bounded recent eligible conversation and summaries of those records pass transiently through Sledge's relay to OpenAI. When an answer needs older records than that summary holds, such as an earlier workout, an exercise history or a longer trend, Agent asks your phone for them and the phone sends only the records asked for, within the same reply. Health data is read for that reply; ordinary Agent processing does not retain it on Sledge's servers. Separately permitted improvement sharing and issue reports are described below. Sledge does not automatically attach your account identifier, account email address or authorization token to model input. Text or photos you choose to send can still identify you or another person; these requests are not treated as anonymous. Without separate improvement-sharing permission, the account service processes only consent, access and usage metadata for an ordinary Agent request. If you allow Help improve Sledge, future meal photos and estimates/corrections and new ordered Agent prompts/replies with relevant context already used in those requests can be saved for restricted human review, as described in Privacy Policy Section 6. Earlier text-only grants remain narrow until a new choice. A deliberate Report an issue submission sends the contextual snapshot you preview and optional comment for encrypted investigation and replies under Privacy Policy Section 8. The snapshot can include the current conversation or a bounded section, request context or a meal photo and estimate; it does not attach the database. Sending one report does not enable ongoing sharing or analytics. The relay does not persist message content.

Conversation and proposal records are stored in the local app database. Eligible conversations and proposals can be included in separately consented account saving; Health-derived content and content of unknown provenance are excluded. Clearing eligible local chat removes it from the next accepted account save. This own-user continuity purpose is separate from Agent processing and Help improve Sledge review. These local records are excluded from automatic backup and device transfer on iOS and Android; see Privacy Policy Section 5. You can stop a reply, clear the local chat or withdraw Agent consent. Stopping or local deletion cannot retract a request already processed by OpenAI. OpenAI API data is not used for model training by default. We request store:false; default abuse-monitoring logs may retain content for up to 30 days, subject to exceptions. This is not a promise of zero retention or exclusively EU processing. See OpenAI API data controls.

Agent is an AI system and may be wrong. It provides general fitness information, not diagnosis, treatment or medical advice. A change you explicitly ask Agent for applies at once with Undo. Agent suggestions and every deletion wait for your tap; Sledge checks current records before committing a change. Applied changes remain in your log after chat deletion. Availability and usage limits may prevent a reply without affecting your existing local records.

Optional processing uses consent under Article 6(1)(a) GDPR and, for health-related information, explicit consent under Article 9(2)(a). You may withdraw prospectively without losing local logging, existing history or account controls. Contact the controller above for access or erasure requests; local deletion does not guarantee immediate erasure of provider-held security records.
